LO 4: Explain the five basic elements of contract formation
LO 5: List the various functions served by purchase orders and acknowledgements in contract formation
LO 6: Identify contract language which may determine whose terms and conditions control the contract
LO 7: Be aware of special considerations involved in electronic transactions
LSN 3: Week 2 Materials - Written Contracts, Unenforceable Contracts and Special Contract Situations/Contract Performance
LO 1: Recognize which contracts need to include written documentation
LO 2: Describe what constitutes adequate written documentation for a contract covered by the Statute of Frauds
LO 3: Explain how a merger clause might limit a contract, and list three concepts that may modify contractual requirements
LO 4: Distinguish between various kinds of mistakes in contract formation that lead to unenforceability of the contract
LO 5: Distinguish between contracting considerations for term contracts versus one-time transactions
LO 6: Apply common law factors of employment to distinguish between employees and independent contractors
LO 7: Describe the seller's and buyer's respective obligations in a contract for the sale of goods
LO 8: Apply risk-of-loss principles to contracts for the sale of goods
LO 9: Describe the defenses that excuse either a buyer or seller from contract performance
LO 10: Explain three ways in which a contract may end before its final completion
LSN 4: Week 3 Materials - Warranties & Product Liability/Remedies
LO 1: List three types of warranties and describe how each applies to contracts for goods and/or services
LO 2: Minimize the impact on your organization of warranty disclaimers and maximize your organization's exposure to product liability claims
LO 3: Identify and describe three types of remedies available in conjunction with contracts
LO 4: Describe the remedies available to a supplier when the purchasing organization breaches a contract
LO 5: Describe the alternative remedies available to a purchasing organization when a supplier fails to deliver goods as ordered
LSN 5: Week 4 Materials - Law of Agency/Other Laws Affecting Supply Management
LO 1: List and describe the duties of an agent, a principal, and a third party in an agency situation
LO 2: Identify the type of authority you are exercising when you act on behalf of your employer in any particular case
LO 3: Take steps for protection against personal liability for your actions as a "purchasing agent"
LO 4: Identify three types of intellectual property and describe the legal protection available for each
LO 5: List four antitrust laws and explain their application to supply management
LO 6: Describe the role of supply management in environmental compliance and minimization of environmental liability
LO 7: Be familiar with other federal laws that may have an impact on the supply management function
