Dear Fellow ISM Members,
This year you are being asked to vote to approve certain changes to ISM’s bylaws. The impetus for these changes was the revision of the Not-for-Profit Corporation Law (NPCL) in New York State in 2013. ISM is incorporated in New York and therefore required to comply with the changes to the NPCL. For example, the law now permits member votes to be recorded by “electronic transmission” (such as email or fax), recognizing the role of technology in today’s business world. Similarly, notice of meetings is no longer required to be made in written format, but may be provided by publication on the ISM website. Another change recommended by ISM’s general counsel would allow the board to appoint a director to fill the unexpired portion of a director’s term in the event of a vacancy. This prevents the ISM Board from having to work “short-handed” in the event of a board vacancy. All of the proposed changes were drafted by ISM’s outside general counsel and carefully reviewed, discussed, and approved by the Board of Directors. As the proposed changes simplify our governance procedures and are necessary for compliance with New York law, I urge you to vote in favor of the revisions.

Notice of ISM Annual Membership Meeting
Notice is given that the Institute for Supply Management, Inc.® (ISM) Annual Membership Meeting will be held on January 22, 2015, at 11:30 a.m. Mountain Time at the Sheraton Wild Horse Pass Resort in Chandler, Arizona, USA. If authorized, this Proxy will be voted at that meeting unless rescinded by you either before or at the meeting.
